1. Definitions

For the purposes of these Terms of Use, the following terms shall have the meanings described below:

Platform: The Baseportal software as a service (SaaS), including all modules, features, APIs, and associated documentation, made available via the internet.

User: Any individual or legal entity that accesses or uses the Platform, including administrators, team members, and end customers.

Customer: The legal entity or individual that contracts Baseportal services through a subscription plan.

Customer Data: All data, information, files, and content entered, uploaded, or processed by the Customer or its Users on the Platform.

Personal Data: Any information relating to an identified or identifiable natural person, as defined by the Brazilian General Data Protection Law (LGPD - Law 13,709/2018) and the General Data Protection Regulation (GDPR - EU Regulation 2016/679).

Data Processing: Any operation performed on personal data, such as collection, production, reception, classification, use, access, reproduction, transmission, distribution, processing, archiving, storage, deletion, evaluation, control, modification, communication, transfer, dissemination, or extraction.

Team (Workspace): The isolated multi-tenant space created on the Platform for each company or organization, where data is segregated from other Teams.

AI Content: Any text, analysis, suggestion, or result generated by the Platform's artificial intelligence features.

Documentation: Manuals, guides, technical specifications, and support materials made available by Baseportal.

SLA: Service Level Agreement defining the availability and performance parameters of the Platform.

Sub-processor: A third party contracted by Baseportal to assist in processing personal data on behalf of the Customer.

DPO (Data Protection Officer): The person designated by Baseportal to act as a communication channel between the controller, data subjects, and the Brazilian National Data Protection Authority (ANPD).

2. Acceptance of Terms

By accessing, registering, or using the Baseportal Platform in any way, you declare that you have read, understood, and fully agreed to these Terms of Use, the Privacy Policy, and any supplementary documents referenced herein. If you are accepting these terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these terms.

If you do not agree with any provision of these Terms of Use, you must not access or use the Platform. Continued use of the Platform after publication of changes constitutes tacit acceptance of the modified terms.

3. Service Description

Baseportal is a multi-tenant business management platform, provided as Software as a Service (SaaS), offering the following features:

  • Customer Relationship Management (CRM) system with pipeline and segmentation
  • Customized client portal with authenticated access
  • File and document management system with secure cloud storage
  • Customizable collections and databases with custom fields and advanced filters
  • Dynamic forms with visual builder and conditional logic
  • Digital contracts with templates, dynamic variables, and electronic signatures
  • Process automations with configurable triggers, conditions, and actions
  • Artificial intelligence assistants with language model integration (OpenAI, Anthropic)
  • Task management system with priorities, assignments, and tracking
  • Multi-channel communication including internal chat and WhatsApp integration

4. User Account

4.1 Registration

To use the Platform, the User must create an account by providing accurate, complete, and up-to-date information:

  • Full name and valid contact information (email and phone number)
  • Company data, including legal name and tax ID (when applicable)
  • Express acceptance of these Terms of Use and the Privacy Policy
  • Setting secure access credentials (password with minimum complexity requirements)
  • The User must be at least 18 years old or the age of legal majority in their jurisdiction

4.2 User Responsibilities

  • Maintain absolute confidentiality of your access credentials and do not share them with third parties
  • Immediately notify Baseportal of any unauthorized use of your account or any security breach
  • Be responsible for all activities carried out under your account, including actions by third parties who access the account with your credentials
  • Keep your registration information updated and accurate at all times
  • Ensure that data entered on the Platform was collected lawfully and with the appropriate legal bases
  • Inform your employees and authorized users about the obligations set forth in these Terms of Use

5. License Grant

Upon acceptance of these Terms and payment of applicable fees, Baseportal grants the Customer a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform during the subscription period, subject to the following conditions:

  • Use is restricted to the number of users and features provided in the contracted plan
  • The license is valid exclusively for the Customer's legitimate business purposes and their organization
  • Baseportal may update, modify, or discontinue Platform features with reasonable prior notice
  • The Platform operates on a multi-tenant architecture, with each Team having its own isolated and segregated space

6. Rules of Use and Conduct

By using the Platform, the User agrees NOT to:

  • Use the service for any illegal, fraudulent, defamatory, discriminatory purpose or in violation of third-party rights
  • Attempt to access, copy, modify, or destroy data from other Users or Teams without express authorization
  • Transmit viruses, malware, ransomware, spyware, or any malicious code through the Platform
  • Reverse engineer, decompile, disassemble, or attempt to discover the Platform's source code
  • Use the service in a way that could damage, overload, disable, or compromise the Platform's infrastructure
  • Perform scraping, data mining, or automated content extraction without prior written authorization
  • Resell, sublicense, rent, or make Platform access available to unauthorized third parties
  • Use the Platform to send spam, phishing, or unsolicited commercial communications
  • Violate intellectual property rights, trademarks, trade secrets, or patents of third parties
  • Use the Platform for competitive benchmarking without prior written consent from Baseportal

Violation of any of these rules may result in immediate suspension or permanent termination of the User's account, without prejudice to other applicable legal measures.

7. Payment and Billing

7.1 Service Plans

Baseportal offers different subscription plans with specific features, usage limits, and functionalities. Details and pricing for each plan are available on our pricing page and may be updated with 30 (thirty) days prior notice.

7.2 Billing and Conditions

  • Payments are processed monthly or annually, according to the billing cycle chosen by the Customer
  • Billing is done in advance at the beginning of each contracted period
  • Non-payment for a period exceeding 15 (fifteen) days may result in temporary suspension of Platform access
  • All prices are expressed in US dollars (USD), unless otherwise indicated
  • The Customer is responsible for all applicable taxes, duties, and fees on contracted services, except those levied on Baseportal's income
  • Payments are processed through third-party payment providers (Stripe), subject to those providers' terms and conditions

7.3 Cancellation

The Customer may cancel their subscription at any time through the Platform settings or by contacting support. The cancellation will take effect at the end of the current billing period, and Platform access will be maintained until that date. After cancellation, the Customer will have 30 (thirty) days to export their data before permanent deletion.

7.4 Refund Policy

We do not offer refunds for partially used periods. In case of a proven undue charge, the amount will be credited to the next invoice or refunded within 30 (thirty) business days. For annual plans, in case of early cancellation, there will be no proportional refund, except as provided by applicable consumer protection laws.

8. Intellectual Property

8.1 Platform Ownership

The Baseportal Platform, including but not limited to its source code, design, layout, interfaces, algorithms, data models, trademarks, logos, text, graphics, and all associated documentation, are the exclusive property of Baseportal or its licensors, protected by Brazilian and international intellectual property, copyright, and trademark laws.

8.2 Customer Data

The Customer retains full ownership and all rights to Customer Data entered on the Platform. Baseportal receives a limited, non-exclusive, and revocable license to process, store, and display such data exclusively for the purpose of delivering the contracted service. Under no circumstances will Baseportal commercialize, sell, or share Customer Data with third parties for purposes unrelated to service delivery.

8.3 Feedback and Suggestions

If the Customer or its Users provide feedback, suggestions, ideas, or improvements related to the Platform, Baseportal may use such contributions freely, perpetually, irrevocably, and at no cost to improve its products and services, without any obligation of compensation or credit attribution.

8.4 Restrictions

  • The User may not copy, modify, adapt, translate, or create derivative works of the Platform without prior written authorization
  • Removal, alteration, or concealment of intellectual property notices, copyrights, or trademarks present on the Platform is prohibited
  • Use of the Baseportal brand by the Customer is permitted only for reference and identification of the service used
  • Baseportal may use the Customer's name and logo as a commercial reference, subject to prior consent, with the right to opt-out at any time

9. Artificial Intelligence and Machine Learning

The Platform offers artificial intelligence (AI) features through integration with third-party providers (OpenAI and Anthropic). By using these features, the User agrees to the following conditions:

9.1 Data Usage for AI

Data sent for processing by AI features is transmitted to language model providers according to their respective privacy policies. Baseportal does NOT use Customer Data to train, improve, or develop its own or third-party artificial intelligence models. Data is processed exclusively to generate the requested responses and is not retained by AI providers beyond what is necessary for immediate processing.

9.2 AI-Generated Content

AI Content generated by the Platform is provided as an aid and productivity tool. The Customer owns the outputs generated from their data and prompts. However, Baseportal does not guarantee the originality, exclusivity, or copyright protection of AI Content. The User is responsible for reviewing, validating, and approving any AI Content before using it in commercial, legal, or operational decisions.

9.3 AI Limitations and Disclaimers

Baseportal does NOT guarantee the accuracy, completeness, timeliness, or suitability of AI Content for any specific purpose. AI-generated results may contain inaccuracies, algorithmic biases, or outdated information. Baseportal is not liable for direct or indirect damages resulting from decisions made based solely on AI Content. Use of AI features requires adequate human oversight.

9.4 Prohibited AI Uses

  • Using AI to generate illegal, discriminatory, defamatory content, content that violates third-party rights, or that promotes violence, hatred, or misinformation
  • Using AI for automated decision-making that significantly affects the rights or freedoms of natural persons without adequate human oversight, as required by LGPD and GDPR
  • Representing or suggesting that AI Content was entirely produced by humans when this could constitute deception or inducement to error
  • Using AI resources to circumvent security measures, carry out cyberattacks, or exploit system vulnerabilities
  • Using AI to process special categories of personal data (sensitive data) without the appropriate legal bases and safeguards provided by LGPD and GDPR

10. Data Protection and Privacy

Baseportal is committed to protecting the personal data of its Users and Customers, in compliance with the Brazilian General Data Protection Law (LGPD - Law 13,709/2018), the General Data Protection Regulation (GDPR - EU Regulation 2016/679), and other applicable data protection legislation.

10.1 Roles in Data Processing

Baseportal acts as a Processor of personal data when processing Customer Data on behalf of the Customer, who acts as the Controller. Baseportal acts as a Controller when collecting and processing personal data for its own purposes (e.g., Customer registration data, Platform usage data, and billing data). Data processing by Baseportal is carried out based on the Customer's documented instructions, under the terms of the contract, and in compliance with applicable legislation.

10.2 Data Subject Rights under LGPD

In compliance with LGPD (Law 13,709/2018), personal data subjects have the following rights, which may be exercised by contacting our Data Protection Officer (DPO):

  • Confirmation of the existence of processing and access to collected personal data
  • Correction of incomplete, inaccurate, or outdated data
  • Anonymization, blocking, or deletion of unnecessary, excessive, or non-compliant data under LGPD
  • Data portability to another service or product provider, upon express request, in a structured and interoperable format
  • Deletion of personal data processed based on the data subject's consent, except in cases of legal retention requirements
  • Information about public and private entities with which Baseportal shares data
  • Information about the possibility of not providing consent and the consequences of refusal
  • Withdrawal of consent at any time, through express manifestation, at no cost, through the available service channels

10.3 Data Subject Rights under GDPR

For Users located in the European Economic Area (EEA), United Kingdom, or Switzerland, the following additional rights are guaranteed under GDPR:

  • Right of access: obtain confirmation and a copy of personal data being processed
  • Right to rectification: correction of inaccurate or incomplete personal data
  • Right to erasure ('right to be forgotten'): request deletion of personal data when there is no longer a legitimate need for processing
  • Right to restriction of processing: limit the processing of personal data in specific circumstances
  • Right to data portability: receive personal data in a structured, commonly used, and machine-readable format (JSON, CSV)
  • Right to object: oppose the processing of personal data based on legitimate interests, including direct marketing
  • Right not to be subject to automated decisions: not be subject to decisions based solely on automated processing, including profiling, that produce significant legal effects
  • Right to lodge a complaint with the competent supervisory authority in your jurisdiction

10.4 Legal Bases for Processing

Personal data processing by Baseportal is based on the following legal bases, as applicable:

  • Contract performance: processing necessary for the provision of services contracted by the Customer
  • Consent: when the data subject provides free, informed, and unambiguous consent for specific purposes
  • Legitimate interest: for Baseportal's legitimate purposes, such as service improvement, security, and fraud prevention, respecting the rights of data subjects
  • Legal obligation: when processing is necessary for compliance with a legal or regulatory obligation
  • Regular exercise of rights: for the regular exercise of rights in judicial, administrative, or arbitral proceedings
  • Credit protection: for credit analysis and collection purposes, under applicable legislation

10.5 International Data Transfers

Customer Data may be stored and processed on servers located outside Brazil, including the United States and the European Union. These transfers are carried out based on adequate legal mechanisms, including: (i) Standard Contractual Clauses approved by ANPD for transfers under LGPD; (ii) Standard Contractual Clauses (SCCs) approved by the European Commission for transfers under GDPR; (iii) Adequacy decisions when available; and (iv) Complementary technical and organizational safeguards. Baseportal ensures that its international sub-processors provide an adequate level of data protection.

10.6 Security Incident Notification

In the event of a security incident involving personal data that may pose a risk or relevant harm to data subjects, Baseportal will notify: (i) the Brazilian National Data Protection Authority (ANPD) within a reasonable timeframe as required by LGPD; (ii) the competent supervisory authority within 72 hours as required by GDPR (when applicable); and (iii) affected data subjects and the Customer within a reasonable timeframe, with information about the nature of the incident, data affected, technical and security measures adopted, related risks, and measures taken to reverse or mitigate the effects of the incident.

11. Data Portability and Export

Baseportal recognizes the Customer's right to access and export their data at any time, ensuring portability as required by LGPD and GDPR:

  • The Customer can export their data in structured, commonly used formats, including CSV and Excel (.xlsx), through the Platform's native features
  • Data export is available for all collections, customer records, tasks, contracts, and other Platform modules
  • After subscription cancellation, the Customer will have 30 (thirty) days to fully export their data before permanent deletion
  • Baseportal provides technical assistance for data migration in case of transition to another provider, upon request
  • Export limits (simultaneous and daily quantities) are defined according to the contracted plan, to ensure Platform stability and performance for all Customers

12. Security and Data Isolation

Baseportal adopts robust technical and organizational measures to protect its Customers' data, including:

  • Multi-tenant architecture with strict logical isolation: each Team (Workspace) has completely segregated data, using unique identifiers (team_id) that prevent cross-access between organizations
  • Data encryption in transit (TLS 1.2+) and at rest (AES-256), ensuring information confidentiality at all stages
  • Infrastructure hosted on Amazon Web Services (AWS) with geographic redundancy, automatic daily backups, and disaster recovery plan
  • Role-Based Access Control (RBAC) with granular permissions per module and action (view, create, edit, delete), allowing precise privilege configuration
  • Complete audit logs recording all actions performed on the Platform, including who performed them, when, and which data was affected, with retention as required by law
  • Continuous security monitoring, periodic vulnerability testing, and documented and tested security incident response procedures

13. Cookies and Tracking Technologies

The Platform and the Baseportal website use cookies and similar technologies to improve the User experience, analyze service usage, and personalize content. The categories of cookies used are:

  • Strictly necessary cookies: essential for Platform operation, such as session authentication, language preferences, and security. These cookies do not require consent
  • Functionality cookies: store User preferences, such as theme settings, layout, and interface customization
  • Analytics and performance cookies: collect anonymized data about Platform usage through tools such as Google Analytics, enabling analysis of browsing patterns and service improvement
  • Marketing cookies: used to display relevant content and measure the effectiveness of advertising campaigns, including Google Tag Manager and Facebook Pixel

The User can manage their cookie preferences at any time through browser settings or the cookie management mechanism provided on the Platform. Disabling non-essential cookies may affect the functionality of certain features. For more details, please refer to our Privacy Policy.

14. Third-Party Integrations and Sub-processors

The Platform integrates with third-party services to provide complete functionality. By activating and using these integrations, the User acknowledges and agrees that:

  • Integrations with WhatsApp (via WAHA), email services (Brevo, SendGrid, Amazon SES), payment processing (Stripe), cloud storage (AWS S3, Cloudflare R2), and AI providers (OpenAI, Anthropic) are subject to each respective provider's terms of use and privacy policies
  • Baseportal is not responsible for the availability, security, accuracy, or performance of third-party services, and assumes no liability for failures, interruptions, or changes in those services
  • Baseportal maintains an updated list of sub-processors available upon request and will notify Customers 30 (thirty) days in advance of the addition or replacement of sub-processors. Customers who disagree with the change may terminate the contract without penalty
  • Data shared with third-party integrations will be limited to the minimum necessary for the requested functionality, following the principle of data minimization

15. Confidentiality

Both parties commit to maintaining the confidentiality of all confidential information of the other party to which they may have access due to the use of the Platform or the commercial relationship. Confidential information includes: technical, strategic, commercial, financial, operational data, source code, algorithms, processes, business models, and any other non-public information. This confidentiality obligation shall remain in effect during the term of the contract and for a period of 5 (five) years after its termination.

The following shall not constitute a breach of confidentiality: (a) information that becomes public without fault of the receiving party; (b) information demonstrably already known by the receiving party prior to disclosure; (c) information independently developed without use of confidential information; (d) information whose disclosure is required by law, regulation, or court order, provided the obligated party gives prior notice to the other party when legally possible.

16. Warranties and Disclaimers

16.1 Baseportal Warranties

Baseportal warrants that: (a) the Platform will function substantially in accordance with the available Documentation; (b) it will employ commercially reasonable measures to maintain the security and availability of the Platform; (c) it has all rights and authorizations necessary to provide the services; and (d) the service will be rendered with diligence and professionalism. In case of proven breach of the conformity warranty, Baseportal commits to correcting the problem within a reasonable time or, if not possible, proportionally refunding the amount paid for the affected period.

16.2 Disclaimer of Warranties

EXCEPT FOR THE WARRANTIES EXPRESSLY STATED IN THESE TERMS, THE PLATFORM IS PROVIDED 'AS IS' AND 'AS AVAILABLE'. BASEPORTAL MAKES NO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF THIRD-PARTY RIGHTS, OR THAT THE PLATFORM WILL MEET ALL CUSTOMER REQUIREMENTS. Baseportal does not guarantee that the Platform will be compatible with all of the User's hardware, software, browsers, or devices.

16.3 Service Availability

Baseportal will use commercially reasonable efforts to maintain the Platform available with a monthly uptime SLA of 99.5%, excluding: (i) scheduled maintenance previously communicated with a minimum of 48 hours notice; (ii) force majeure events; (iii) User connectivity failures; and (iv) unavailability of third-party services beyond Baseportal's control. Any service credits for downtime exceeding the SLA will be handled according to the conditions of the contracted plan.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BASEPORTAL SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, loss of revenue, loss of data, business interruption, or loss of business opportunities
  • Damages resulting from decisions made based on AI Content generated by the Platform, including inaccuracies, biases, or outdated information
  • Damages caused by the action or omission of third parties, including integrated service providers (WhatsApp, Stripe, OpenAI, Anthropic, AWS, among others)
  • Damages caused by fortuitous events, force majeure, government acts, power outages, telecommunications failures, or other events beyond Baseportal's reasonable control

BASEPORTAL'S TOTAL AND AGGREGATE LIABILITY, FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS, SHALL BE LIMITED TO THE TOTAL AMOUNT ACTUALLY PAID BY THE CUSTOMER IN THE 12 (TWELVE) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. This limitation does not apply to: (i) indemnification obligations for intellectual property infringement; (ii) damages caused by willful misconduct or gross negligence; (iii) breaches of confidentiality obligations; (iv) situations where applicable law does not allow such limitation, including applicable consumer protection provisions.

18. Indemnification

18.1 Indemnification by Baseportal

Baseportal will defend and indemnify the Customer against third-party claims alleging that the Platform, as provided and used in accordance with these Terms, infringes third-party intellectual property rights in Brazil. This obligation does not apply when the claim results from: (a) modifications to the Platform made by the Customer; (b) use of the Platform in breach of these Terms or the Documentation; (c) Customer Data or content provided by the Customer; (d) combination of the Platform with products or services of third parties not authorized by Baseportal; or (e) use of a previous version of the Platform when an updated non-infringing version was available.

18.2 Indemnification by Customer

The Customer will defend and indemnify Baseportal against third-party claims arising from: (a) Customer Data entered on the Platform, including violation of third-party rights or data collected without an adequate legal basis; (b) use of the Platform in breach of these Terms of Use or applicable legislation; (c) violation of the rules of use and conduct established in section 6; and (d) any actions carried out by Users authorized by the Customer that violate these Terms.

19. Term and Termination

These Terms of Use become effective on the date of acceptance by the User and remain in force as long as the User maintains an active account on the Platform or until termination by either party.

19.1 Termination by Customer

The Customer may terminate these Terms and close their account at any time by canceling the subscription through the Platform settings or by written communication to support. The termination will take effect at the end of the current billing period.

19.2 Termination by Baseportal

  • Material breach of these Terms of Use that is not remedied within 30 (thirty) days after written notification
  • Fraudulent, illegal activity, or activity that poses a risk to Platform security or other Customers, which may result in immediate termination
  • Non-payment for a period exceeding 60 (sixty) days, after notification and opportunity to regularize
  • Filing for bankruptcy, judicial recovery, insolvency, or cessation of the Customer's activities

19.3 Effects of Termination

  • The Customer will have 30 (thirty) days after the effective date of termination to fully export their data in a structured format
  • After the export period, all Customer Data will be permanently deleted from Baseportal systems, including backups, within up to 90 (ninety) days
  • Any payment obligations already due or proportional to the period used remain enforceable
  • Provisions relating to intellectual property, confidentiality, limitation of liability, indemnification, and applicable law shall survive termination of these Terms

20. Service Suspension

Baseportal reserves the right to temporarily or partially suspend the Customer's access to the Platform under the following circumstances:

  • Non-payment for a period exceeding 15 (fifteen) days, after prior email notification
  • Violation of usage rules that poses an immediate risk to the security, integrity, or performance of the Platform or third parties
  • Judicial, administrative, or regulatory order requiring suspension of access
  • Detection of suspicious activity indicating compromise of the Customer's account security

Whenever possible and legally permitted, Baseportal will notify the Customer in advance of the suspension, stating the reason and conditions for service restoration. During suspension due to non-payment, payment obligations remain in effect. Suspension does not imply automatic termination of the contract.

21. Changes to Terms

Baseportal reserves the right to modify these Terms of Use at any time. Substantial changes will be communicated with a minimum of 30 (thirty) days advance notice via email to the registered address and/or through prominent notices on the Platform. Non-substantial changes (such as typographical corrections or reformatting) may be made without prior notice. Continued use of the Platform after the notification period constitutes acceptance of the modified terms. If the Customer does not agree with the substantial changes, they may terminate the contract without penalty during the notification period, with the current terms remaining applicable until the effective date of termination.

22. Applicable Law and Dispute Resolution

These Terms of Use are governed by and construed in accordance with the laws of the Federative Republic of Brazil, regardless of international conflicts of laws. The parties acknowledge the applicability of Law 13,709/2018 (LGPD), the Consumer Defense Code (Law 8,078/1990), the Brazilian Internet Framework (Law 12,965/2014), and other applicable Brazilian legislation.

The parties commit to attempting to amicably resolve any controversy arising from these Terms through direct negotiation within 30 (thirty) days. If amicable resolution is not possible, the courts of the District of São Paulo, State of São Paulo, are hereby elected, to the exclusion of any other, however privileged, to settle any disputes arising from these Terms. For consumer Users residing in Brazil, the right to file an action in the court of their domicile is preserved, as provided by the Consumer Defense Code.

23. General Provisions

  • Entire Agreement: These Terms of Use, together with the Privacy Policy and other referenced documents, constitute the entire agreement between the parties regarding the use of the Platform, superseding any prior agreements or understandings, whether oral or written.
  • Severability: If any provision of these Terms is found to be invalid, void, or unenforceable by judicial or arbitral decision, the remaining provisions shall remain in full force and effect.
  • Waiver: The failure by either party to require performance of any obligation under these Terms shall not constitute a waiver of the right to require such performance at any time.
  • Assignment: The Customer may not assign or transfer their rights or obligations under these Terms without prior written consent from Baseportal. Baseportal may assign this contract in the event of a merger, acquisition, or asset sale, upon notification to the Customer.
  • Force Majeure: Neither party shall be liable for delays or failures in the performance of their obligations arising from force majeure events, including but not limited to natural disasters, pandemics, government acts, wars, strikes, power or telecommunications failures, mass cyberattacks, and similar events beyond the reasonable control of the affected party. The Customer's payment obligation is not subject to this exception.
  • No Partnership: Nothing in these Terms creates any partnership, joint venture, representation, franchise, agency, or employment relationship between the parties.
  • Communications: All official notices and communications relating to these Terms shall be made in writing, by email to the registered addresses, or through the Platform's official channels. Communications sent by email shall be deemed received on the business day following dispatch.

Data Protection Officer (DPO)

As required by LGPD (Art. 41) and GDPR (Art. 37), Baseportal has designated a Data Protection Officer (DPO) responsible for: (i) receiving complaints and communications from data subjects and ANPD; (ii) providing clarifications and taking appropriate measures; (iii) guiding employees and contractors on data protection practices; and (iv) performing other duties determined by the controller or established by complementary regulations. Requests will be addressed within 15 (fifteen) days as per LGPD, or 30 (thirty) days as per GDPR, depending on the applicable jurisdiction.
